Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the websites, applications, and cloud services operated by Tecunit Ghana (“we”, “us”) including SMSLogicpro (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself or the organisation you represent.

The Service

We provide a software platform for school administration, communication, fees, academics, and related modules as described on our website and in your order or subscription. Features may vary by plan. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable, especially for security or legal compliance.

Accounts and access

• You must provide accurate registration information and keep credentials confidential.
• You are responsible for activity under your account unless you notify us promptly of unauthorised use.
• School administrators control roles, permissions, and invitations within their tenant.

Acceptable use

• No unlawful, harmful, or deceptive activity; no attempt to breach security or probe systems without authorisation.
• No transmission of malware or content that infringes intellectual property or privacy rights of others.
• No scraping, excessive automated access, or resale of the Service except as expressly permitted in writing.

Customer data and content

You retain rights to data you submit. You grant us a limited licence to host, process, transmit, and display that data solely to provide and improve the Service in line with our Privacy Policy. You represent that you have the rights and consents needed for the data you upload, including pupil and employee information processed on your instructions.

Fees and payment

Paid plans, usage limits, and taxes are as shown at checkout or in your agreement. Late or failed payments may result in restricted access after notice. Unless stated otherwise, fees are non-refundable except where required by law or at our discretion for documented service failures attributable to us.

Intellectual property

We and our licensors own the Service, software, branding, and documentation. Except for the limited right to use the Service during your subscription, no rights are transferred to you. Feedback you voluntarily provide may be used without obligation to you.

Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement except where such disclaimers are not legally permitted.

Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms or the Service in any twelve (12) month period is limited to the fees you paid to us for the Service during that period (or, if none, one hundred Ghana Cedis (GHS 100)). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent still permitted.

Indemnity

You will defend and indemnify us against third-party claims arising from your use of the Service, your data, or your violation of these Terms, except to the extent caused by our wilful misconduct.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, risk to security or other users, or non-payment after notice where reasonable. Provisions that by nature should survive (for example liability limits, governing law) will survive termination.

Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law rules. Courts in Ghana shall have non-exclusive jurisdiction, subject to any mandatory rights you have under local consumer law.
